These Terms of Use (“Terms”) govern your access to and use of the Kali mobile application (the “App”) and any related services (together, the “Service”) operated by Kali Inc. (“Kali,” “we,” “us,” or “our”). By downloading, installing, or using the Service, or by clicking “I Accept,” you agree to be bound by these Terms. If you do not agree, you may not use the Service. Eligibility & Account Registration
Age Requirement: You must be at least 13 years old to use the Service.
Student Verification: You must sign up with a valid .edu email address to confirm college affiliation.
One Account Only: Each student may maintain only one Kali account. You may not buy, sell, transfer, or share accounts.
License Grant & Restrictions
License Grant: Subject to these Terms, Kali grants you a limited, non‑exclusive, revocable, non‑transferable license to download, install, and use the App on a single device you own, solely for your personal, non‑commercial use.
Restrictions: You agree not to:
Reverse engineer, decompile, disassemble, or otherwise attempt to derive any source code or underlying ideas or algorithms of the Service.
Scrape, mine, or collect data from the Service using automated means.
Reproduce, distribute, sell, resell, lease, sublicense, or exploit any part of the Service for any commercial purpose.
Circumvent any technological measures used to protect the Service.
User‑Generated Content & License
Responsibility: You are solely responsible for all content you post, share, or transmit through the Service (“Your Content”).
Public Posting: All posts, event descriptions, org pages, and comments are public and may be viewed by others.
Content License: By submitting Your Content, you grant Kali a perpetual, irrevocable, worldwide, royalty‑free, non‑exclusive license to use, reproduce, modify, distribute, display, and otherwise exploit Your Content in connection with operating and promoting the Service.
Prohibited Conduct
You may not use the Service to:
Harass, abuse, or threaten other users.
Send spam, unsolicited communications, or commercial advertising.
Impersonate any person or entity, or misrepresent your affiliation.
Post illegal, infringing, or otherwise objectionable content.
We use .edu verification to minimize misuse and provide in‑app reporting for violations. Kali reserves the right to investigate and remove any content or accounts that breach these rules.
Termination & Suspension
We may suspend or terminate your account, without notice, for conduct we deem:
Illegal or in violation of these Terms.
Fraudulent, abusive, or harmful.
Involving scraping, reverse engineering, or repeated policy breaches.
You may appeal a suspension or termination via the in‑app support portal. We may reinstate your account at our discretion.
Disclaimers & Limitation of Liability
As‑Is: THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, KALI’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED US $50.
Modifications to Terms
We may update these Terms at any time. When we do, we will notify you in‑app and post the revised Terms at joinkali.com/terms with a new “Effective Date.” Continued use after notification constitutes acceptance.
Governing Law & Dispute Resolution
Governing Law & Dispute Resolution. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict‑of‑law principles. You and we agree that any legal action or proceeding arising under these Terms will be brought exclusively in the Delaware Court of Chancery or, if that court lacks subject‑matter jurisdiction, the United States District Court for the District of Delaware.
